Terms of Service

1. Agreement

These Terms govern your use of NudgeNow ("the Service"), operated by VILLACRUSISLABS SOFTWARE DEVELOPMENT SERVICES (trading as “Villacrusis Labs”), a sole proprietorship registered with the Philippine Department of Trade and Industry under Business Name Reg. No. 8415621 and with the Bureau of Internal Revenue, with registered business address at Unit 11 Valen Court Townhomes, 4182 Ponte Street, Tejeros, 1204 Makati City, Metro Manila, Philippines (the "Provider"). By creating an account or signing in — with Google, Facebook, or an email address and password — you enter into this agreement electronically — electronic contracts are valid and binding under the Philippine Electronic Commerce Act (Republic Act No. 8792). If you do not agree, do not use the Service.

2. What the Service is — and is not

NudgeNow is a follow-up and client-relationship tool for client-facing professionals — financial advisors and real estate professionals: leads, follow-up reminders, message templates, public pages, and related features.

NudgeNow is software, not a professional service. The Provider is not an insurance company, agency, or broker; not a real estate broker, salesperson, or any other real estate service practitioner under the Real Estate Service Act (Republic Act No. 9646, "RESA"); and not a party to, intermediary in, or escrow for any transaction between you and your clients. We earn no commission on your transactions and never receive, hold, or transfer money between you and a client.

For financial advisors: NudgeNow is not affiliated with, endorsed by, or a system of any insurance company, and it is not the Insurance Commission. It never generates policy illustrations, proposals, quotations, or financial advice. Your obligations under the Amended Insurance Code (Republic Act No. 10607), Insurance Commission regulations, and your insurer's own rules — including how you may present products and handle client information — remain entirely yours.

For real estate professionals: your obligations under RESA, its implementing rules, PRC and DHSUD regulations, and your brokerage's own rules remain entirely yours. We do not verify any user's identity, license, accreditation, listings, or authority to sell or lease any property. Hosting or displaying a listing on a NudgeNow page is not an endorsement, a confirmation of its accuracy, or a representation that the user is authorized to market it. License or accreditation numbers shown on a user's pages are self-declared by that user and are not verified by us.

3. Eligibility and your account

You must be at least 18 years old.
You sign in through your own Google or Facebook account, or an email address and password, and are responsible for keeping them secure.
One account represents one agent; your data is private to you.

3-A. Your professional representations

By using the Service you represent and warrant that:

you hold, and will maintain, every license, accreditation, or authorization that Philippine law requires for your work — for insurance work, licensing under the Amended Insurance Code; for real estate work, a PRC real estate broker's license or accreditation as a salesperson under a licensed broker, as RESA requires;
you are authorized to market every property you list on the Service, and every listing you publish is accurate and kept current — including price, availability, and status;
you own, or hold the rights to use, every photo and document you upload — using a developer's renders or another agent's photos without permission is a breach of these Terms;
you will not use the Service for fraud or misrepresentation of any kind, including marketing properties you have no authority to sell, double-selling, or pre-selling without the permits the law requires.

4. Free period, subscription, and read-only mode

Every new account includes 30 days of full access, free. No payment details are collected at registration.
After the free period, continued full access costs ₱299 per month or ₱2,990 per year, paid in advance as a one-time payment via QR Ph. Each payment extends your access by the period you bought (one month, or twelve months for the yearly payment) from the end of your current access; paying early never shortens what you already have.
There is no auto-charge and nothing to cancel: if you choose not to renew, your account simply becomes read-only — you can view everything you entered, but cannot add or change records until you renew.
Refunds: your first payment is covered by a 7-day, no-questions refund — see section 5.
Prices may change with at least 30 days' notice in the app; changes never affect access you have already paid for.

5. Refunds

First payment, 7 days, no questions. If NudgeNow is not for you, your first subscription payment is refunded in full when you ask within 7 days of paying. Email hello@nudgenow.ph from your account email. We refund through PayMongo to the wallet, bank account, or card you paid with; how soon it shows up depends on your provider.
Once refunded, the access that payment bought (one month or one year) is removed and your account returns to read-only (or to any free days you still had). Your data stays.
Later renewals, campaign-credit packs, and team payments are non-refundable except where a refund is required by law (including the Consumer Act, Republic Act No. 7394) or where a duplicate or erroneous charge occurred — report those to us and we will make it right.

6. Payments

Payments are processed by PayMongo Philippines, Inc., an entity regulated by the Bangko Sentral ng Pilipinas. We never receive or store your card number or e-wallet credentials. You are responsible for any fees your bank or wallet provider charges.

6-A. Programs and promotions

Founding member pricing. The first 100 accounts created (free trials included) keep the ₱299 per month individual price (₱2,990 per year) for the lifetime of their account, even if standard pricing later increases. The lock is personal to the account, non-transferable, and applies while the account remains in good standing under these Terms.

We may modify or discontinue any promotional program prospectively at any time. Credits, price locks, and extensions already granted are honored.

7. Your data and your responsibilities

You own the data you enter. We claim no rights over it beyond what is needed to operate the Service, as described in our Privacy Policy.
Content you choose to publish — your public pages, listings, and the photos and text on them — stays yours. You grant the Provider a non-exclusive license to host, display, and technically process that content for the sole purpose of operating the Service (including generating page previews). You are solely responsible for what your content says and shows.
For information about your leads and clients, you are the personal information controller under the Data Privacy Act of 2012 (Republic Act No. 10173). You warrant that you have a lawful basis to record it and that you will honor your clients' rights under that law.
You will not use the Service for unsolicited mass messaging ("spam"), harassment, or any activity that violates Philippine law, including the Cybercrime Prevention Act (Republic Act No. 10175).

8. Intellectual property

The Service's software, design, and branding belong to the Provider. Your data belongs to you. Default message templates are provided for your use within the Service.

9. Suspension, takedowns, and termination

You may stop using the Service anytime and may request full deletion of your account and data (Privacy Policy §9).
We may suspend or terminate accounts that violate these Terms or the law, and will state the reason.
Every public listing page carries a "Report this listing" link. We may unpublish content or suspend an account in response to a fraud report, a complaint, or a lawful request — without liability to the account holder — while we review. We aim to act on credible reports within 48 hours.
We cooperate with Philippine authorities — including the PRC, DHSUD, the Insurance Commission, the NBI, and the PNP Anti-Cybercrime Group — where the law requires it.
Accounts inactive for more than 24 months may be deleted after 30 days' notice to your registered email.

10. Service availability and disclaimers

The Service is provided "as is" and "as available". We work to keep it reliable but do not guarantee uninterrupted availability, and we are not responsible for outcomes of your client relationships, sales, or regulatory standing. Follow-up reminders are an aid, not a guarantee that you will never miss one.

11. Limitation of liability

To the maximum extent permitted by Philippine law, the Provider's total liability arising from the Service is limited to the subscription fees you paid in the three (3) months before the claim arose. Nothing in these Terms excludes liability for fraud, bad faith, or gross negligence — any waiver of an action for future fraud is void under Article 1171 of the Civil Code.

10-A. Indemnification

You will indemnify and hold the Provider harmless from claims, damages, and expenses (including reasonable attorney's fees) arising from your content, your listings, your conduct toward leads and clients, or any transaction between you and them — including claims that a listing was inaccurate, unauthorized, or infringing.

12. Changes to these Terms

We may update these Terms; material changes will be announced in the app at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law and venue

These Terms are governed by the laws of the Republic of the Philippines. Disputes shall be brought before the proper courts of the Philippines, without prejudice to rights you hold under mandatory consumer-protection and data-privacy law.
